Introduction

These Terms of Service (“Agreement”) outline the terms and conditions under which SiteGete Hosting Limited (“we,” “us,” or “our”) provides web hosting and related services to you (“you,” “your,” or “Client”). By using our services, you agree to be bound by these terms.

Definitions and Interpretation

“Account” means the details of the Client that are required and held by us to facilitate the provision of the Service.
“Business Day” means a day (that is not a Saturday or Sunday) on which banks are open for business in the relevant jurisdiction.
“Client Website” means the website that we are hosting for the Client.
“Fee” means the sum payable by the Client to us in order to receive our Service.
“Hosting Hardware” means all computer and networking equipment used by us in the provision of the Service.
“Hosting Package” means one of the Service packages offered by us and generally refers to the package selected by the Client.
“Hosting Software” means all software used by us in the provision of the Service.
“Intellectual Property” means all patents, rights to inventions, utility models, copyright and related rights, trade marks, service marks, trade, business and domain names, rights in trade dress or get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database right, topography rights, moral rights, rights in Confidential Information (including know-how and trade secrets) and any other intellectual property rights.

Engagement; Services

We shall provide the services set forth in Exhibit A (the “Services”), as described in Exhibit B (“Service Level Agreement”). The Services include but are not limited to web hosting, domain registration, and related support services.

Price; Payment

Payment Terms: Payment is due upon receipt of invoice. Payment terms are net-30 unless otherwise agreed by both parties in writing.
Fees: All fees listed are inclusive of taxes, labor, and maintenance fees.
Renewal: Services are automatically renewed unless written notice of cancellation is received at least 30 days prior to the end of the term.

Term; Termination

Term: The initial term of this Agreement shall commence on the date of signing and continue for a period of 12 months, unless otherwise specified.
Renewal: This Agreement is automatically renewable for successive periods of the same duration as the initial term, unless either party gives written notice of termination at least 30 days prior to the end of the current term.
Termination: You may terminate this Agreement upon the occurrence of one or more of the following events:
1. Failure to comply with any and all terms listed above.
2. Bankruptcy of either party.
3. Upon written agreement between both parties.

Intellectual Property

You warrant that you have the right to use any applicable trademarks or copyrighted material used in connection with this service while this Agreement is in effect.

Warranties

We provide our services on an “as is” and “as available” basis. We do not warrant that the services will be uninterrupted, error-free, or meet your specific requirements.

Liability

We shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement.

Data Protection

We comply with all applicable data protection laws. Please refer to our Privacy Policy for more details on how we handle personal data.

Network and Information Systems Security

We maintain robust security measures to protect our systems and your data. However, you are responsible for maintaining the security of your account and website.

Confidentiality

Both parties agree to keep confidential any information that is not publicly known and is disclosed by one party to the other in connection with this Agreement.

Force Majeure

Neither party shall be liable for any failure or delay in performing any obligation under this Agreement due to any cause beyond its reasonable control.

Audit

We reserve the right to audit your use of our services to ensure compliance with these Terms of Service.

No Waiver

The failure of either party to enforce any provision of this Agreement shall not be deemed a waiver of such provision.

Further Assurance

Each party shall execute and deliver such further documents as may be reasonably required to give full effect to this Agreement.

Costs

Each party shall bear its own costs and expenses incurred in connection with this Agreement.

Assignment and Sub-Contracting

Neither party may assign or transfer this Agreement without the prior written consent of the other party.

Relationship of the Parties

The parties are independent contractors and nothing in this Agreement shall be construed to create a partnership or joint venture.

Third Party Rights

This Agreement does not confer any rights on any person who is not a party to it.

Notices

All notices must be in writing and may be delivered by hand, sent by post, or transmitted by email.

Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties.

Counterparts

This Agreement may be executed in counterparts, each of which shall be deemed an original.

Severance

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be severed from this Agreement and the remaining provisions shall remain in full force and effect.

Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of United States Of America. Any disputes arising out of or in connection with this Agreement shall be resolved through Competent court of juridiction.

Changes to These Terms

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page, and we encourage you to review these terms regularly.
